All States Ag Parts Acquires TractorJoe

Hudson, WI – All States Ag Parts, LLC (“All States Ag Parts” or “ASAP”), the leading supplier of replacement agricultural parts in North America and portfolio company of Kinderhook Industries, LLC (“Kinderhook”), announced today the acquisition of TractorJoe (the “Company”). TractorJoe is a leading direct-to-consumer online distributor of new and used replacement parts for tractors and other agriculture machinery. TractorJoe will be ASAP’s seventh add-on acquisition.

The acquisition of TractorJoe further solidifies ASAP’s position as the largest direct-to-consumer online retailer of replacement agriculture parts. TractorJoe was founded in 2002 by the Vorobeychik family and is based in Plymouth, MN.

“TractorJoe brings us a fully developed website operation with strong organic traffic to supplement our existing site,” said John Dyke, CEO of All States Ag Parts. “We plan to incorporate certain elements of their success and leverage the best practices across both brands as we move forward,” said Dyke.

Paul Cifelli, Managing Director at Kinderhook, stated, “The TractorJoe acquisition reflects ASAP’s continued effort to expand its direct-to-consumer eCommerce presence. We see this channel as a significant growth driver and are excited to add the expertise of the TractorJoe team as we continue to build out this strategy.”

Former owner, Marina Vorobeychik, will continue to run TractorJoe while also joining ASAP’s executive team. “We are thrilled to be partnering with All States Ag Parts and excited to leverage the success of both brands.” said Vorobeychik. Co-founders Vitaly Vorobeychik and Philip Vorobeychik added “We have been impressed with Kinderhook and the ASAP team’s capabilities to grow the business and look forward to participating as shareholders in the combined entity.”

Fredrickson & Byron P.A. served as legal counsel to ASAP. Cooley LLP served as legal counsel to TractorJoe. Financing for the transaction was provided by Maranon Capital.
